Terms of Service

We are MDNYT Live LLC ("Company," "MDNYT Live," "we," "us," or "our"), a company registered in Clarksville, Tennessee 37040. We operate https://www.platinumpourtickets.com (the "Site"), the MDNYT Live VIP mobile application (the "App"), ticketing and checkout pages, and any related products and services that refer or link to these Terms of Service (collectively, the "Services").

These Terms of Service ("Legal Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and MDNYT Live LLC concerning your access to and use of the Services. By accessing or using the Services, creating an account, registering for an event, purchasing a ticket, submitting information, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to register for or use the Services unless expressly authorized by MDNYT Live and permitted by applicable law.

1. Our Services

MDNYT Live provides nightlife discovery, digital ticketing, event registration, VIP access, table reservations, event promotion, digital ticket delivery, check-in, organizer tools, analytics, and related services. Certain features may vary by event, venue, market, or device.

2. Intellectual Property Rights

We own or license all intellectual property rights in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos (collectively, the "Content" and "Marks"). Subject to your compliance with these Legal Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

No portion of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, transmitted, distributed, sold, licensed, scraped, or otherwise commercially exploited without our prior written permission.

3. User Representations

By using the Services, you represent that the information you provide is true, accurate, current, and complete; you have legal capacity to agree to these Legal Terms; you are not a minor in your jurisdiction; you will not access the Services through unauthorized automated means; and your use of the Services will comply with applicable law.

4. User Registration

You may be required to register for certain Services. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. We may suspend or terminate accounts containing inaccurate, fraudulent, incomplete, or unlawful information.

5. Products and Event Offerings

All tickets, passes, reservations, products, and event offerings are subject to availability. We may modify or discontinue offerings, capacities, availability, descriptions, or pricing at any time.

6. Purchases and Payment

You agree to provide current, complete, and accurate purchase and account information. You authorize us and our payment processors to charge the payment method you select for ticket prices, fees, taxes, and other disclosed charges. All payments are in U.S. dollars unless otherwise stated. We may correct pricing errors, refuse orders, limit quantities, or cancel transactions reasonably suspected of fraud, resale, unauthorized activity, or policy violations.

7. Refunds Policy

Except where required by law or expressly stated for a particular event, all sales are final and nonrefundable. Event organizers may establish additional cancellation, postponement, transfer, or refund rules. Processing, service, marketing, and administrative fees may be nonrefundable to the fullest extent permitted by law.

8. Prohibited Activities

You may not use the Services for any unlawful, fraudulent, harmful, abusive, deceptive, competitive, or unauthorized commercial purpose. Prohibited conduct includes unauthorized scraping or database creation; circumvention of security measures; collection of user contact information without authorization; transmission of malware or spam; impersonation; reverse engineering; interference with platform operations; and unauthorized resale or transfer of accounts, tickets, goods, or Services.

9. User-Generated Contributions

Where the Services permit you to submit text, photographs, videos, comments, reviews, or other materials, you represent that you have all rights and permissions needed to submit them and that they do not violate law, privacy, publicity, intellectual property, or other third-party rights.

10. Contribution License

You retain ownership of your lawful Contributions. By submitting Contributions, you grant MDNYT Live a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, adapt, and use those Contributions as reasonably necessary to operate, promote, improve, and provide the Services, subject to our Privacy Policy.

11. Mobile Application License

If you access the Services through the App, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on a device you own or control, subject to these Legal Terms and applicable app-store rules. You may not decompile, reverse engineer, modify, resell, sublicense, or use the App to create a competing product or service.

12. Third-Party Websites and Content

The Services may contain links to third-party websites, content, payment providers, venues, organizers, advertisers, or services. MDNYT Live does not control and is not responsible for third-party content, availability, security, privacy practices, terms, products, services, or transactions. You should review the applicable third party's terms and privacy notices.

13. Services Management

We may monitor the Services for violations, restrict or disable access, remove content, investigate suspected misconduct, report unlawful activity, preserve records, and otherwise manage the Services to protect users, organizers, partners, our rights, and platform operations.

14. Privacy, Data Collection, Sharing, and Commercial Use

We care about data privacy and security. Our Privacy Policy is incorporated into these Legal Terms and explains the categories of information we collect, the sources of that information, the purposes for which it is used, the categories of recipients to whom it may be disclosed, retention practices, and any privacy rights available under applicable law.

By creating an account, purchasing a ticket, registering for an event, completing a form, joining a guest list, subscribing, or otherwise submitting information through the Services, you acknowledge that MDNYT Live may collect, store, organize, analyze, combine, process, and use information you provide and information generated through your interaction with the Services. This may include contact information, purchase and attendance information, event interests, device and usage information, approximate location information, marketing preferences, and engagement data.

By submitting your information, you agree that MDNYT Live and its marketing partners may contact you with offers and promotions where you have provided any consent required by applicable law. Your information may be shared with trusted third-party companies for marketing purposes as described in our Privacy Policy and subject to applicable law.

We may disclose information to event organizers, venues, sponsors, affiliates, contractors, payment processors, analytics providers, advertising platforms, customer-relationship-management providers, communications providers, and other trusted business or marketing partners for purposes including operating the Services, processing transactions, managing events, preventing fraud, measuring performance, personalizing experiences, conducting analytics, and delivering marketing or promotional communications.

MDNYT Live may create aggregated, statistical, anonymized, or de-identified information derived from information collected through the Services. To the extent permitted by applicable law, MDNYT Live may use, disclose, license, sell, distribute, or otherwise commercially exploit aggregated or de-identified information for analytics, audience insights, advertising, market research, business intelligence, product development, artificial intelligence or machine-learning development, and other lawful business purposes. We will not represent aggregated or de-identified information as personally identifying.

Where applicable law treats certain disclosure, targeted advertising, or data commercialization as a "sale," "sharing," or similar regulated activity, MDNYT Live will provide any notices, consent mechanisms, opt-out methods, or other rights required by applicable law. Nothing in these Legal Terms waives a privacy right that cannot lawfully be waived.

If you access the Services from outside the United States, you acknowledge that information may be transferred to, stored in, and processed in the United States and other jurisdictions where MDNYT Live or its service providers operate, subject to applicable law.

15. Term and Termination

These Legal Terms remain effective while you use the Services. We may suspend or terminate access, block accounts or devices, remove content, or discontinue participation where we reasonably believe there has been a violation of these Legal Terms, unlawful conduct, fraud, security risk, abuse, or harm to the Services or others.

16. Modifications and Interruptions

We may modify, suspend, or discontinue all or part of the Services at any time. The Services may be unavailable due to maintenance, technical problems, third-party failures, events beyond our control, or other causes. To the fullest extent permitted by law, we are not liable for interruptions, delays, modifications, or discontinuation.

17. Governing Law

These Legal Terms and your use of the Services are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

18. Dispute Resolution

Unless applicable law requires otherwise, legal actions concerning the Services or these Legal Terms must be brought in the state or federal courts located in Tennessee, and the parties consent to those courts' jurisdiction and venue. Any contractual limitations period applies only to the extent permitted by law.

19. Corrections

The Services may contain errors, inaccuracies, or omissions concerning event information, availability, descriptions, pricing, or other matters. We may correct or update such information at any time, including after an order is submitted, subject to applicable law.

20. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MDNYT LIVE DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE EVENT OUTCOMES, ATTENDANCE, ARTIST PERFORMANCE, VENUE OPERATIONS, THIRD-PARTY SERVICES, OR UNINTERRUPTED OR ERROR-FREE ACCESS.

21. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MDNYT LIVE AND ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM THE SERVICES. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO MDNYT LIVE FOR THE TRANSACTION GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless MDNYT Live and its affiliates, owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable legal expenses arising from your misuse of the Services, breach of these Legal Terms, violation of law, or infringement of third-party rights.

23. User Data

We may maintain information you transmit to the Services and information relating to your use of the Services to operate, secure, evaluate, improve, market, and support the Services; process transactions; manage events and customer relationships; create analytics and insights; and exercise the rights described in Section 14 and our Privacy Policy.

Subject to applicable law and our Privacy Policy, MDNYT Live may share data with trusted service providers, event organizers, venues, affiliates, sponsors, analytics providers, advertising and marketing partners, and other business partners. Data shared for marketing purposes will be handled according to the disclosures, choices, and rights described in our Privacy Policy.

MDNYT Live may retain and use aggregated or de-identified data after account closure or deletion requests where permitted by law, provided the data is not maintained in a form intended to identify you. We may also retain information where necessary for legal compliance, fraud prevention, dispute resolution, security, accounting, tax, or contractual purposes.

Although we use reasonable administrative, technical, and organizational safeguards and may perform routine backups, no system is completely secure or error-free. You are responsible for maintaining copies of information you require. To the fullest extent permitted by law, MDNYT Live is not liable for loss or corruption of data, except where liability cannot lawfully be excluded.

24. Electronic Communications, SMS/Email Marketing, Transactions, and Signatures

Visiting the Services, sending emails, submitting online forms, registering for events, and completing transactions constitute electronic communications. You consent to receive transactional and service-related communications electronically, including purchase confirmations, digital tickets, receipts, event updates, schedule changes, security alerts, account notices, customer-support messages, and legally required disclosures.

Where you provide affirmative marketing consent, you agree that MDNYT Live may send promotional emails and recurring automated or non-automated SMS/text messages to the email address or telephone number you provide. Promotional communications may include event announcements, ticket offers, venue promotions, partner offers, sponsored messages, surveys, newsletters, recommendations, and other marketing communications.

Where disclosed at the point of consent and permitted by applicable law, promotional communications may be sent by or on behalf of MDNYT Live, affiliated brands, participating event organizers, venues, sponsors, and selected marketing partners. Message frequency varies. Message and data rates may apply.

Consent to receive promotional SMS/text messages or promotional emails is not a condition of purchasing a ticket, product, or service. You may withdraw SMS consent by replying STOP to a message or by using another opt-out method identified in the message. You may unsubscribe from promotional email using the unsubscribe link included in the email. For help with SMS messages, reply HELP or contact us. Opting out of marketing will not prevent transactional, security, legal, or account-related communications.

You represent that you are the subscriber or customary user of any telephone number or email address you provide and that you are authorized to consent to communications at that number or address. You agree to notify us if your contact information changes.

You agree to the use of electronic signatures, contracts, orders, records, and delivery of notices, policies, and transaction records. Electronic records satisfy any legal requirement that communications be in writing to the extent permitted by law.

25. State-Specific Privacy Rights

Residents of certain states may have rights regarding access, correction, deletion, portability, use of sensitive data, targeted advertising, or the sale or sharing of personal information. Any rights that apply to MDNYT Live's processing will be described and made available through our Privacy Policy. We will not discriminate against you for exercising a privacy right protected by law.

26. Miscellaneous

These Legal Terms, together with our Privacy Policy and any event-specific or organizer terms incorporated by reference, constitute the entire agreement concerning the Services. If any provision is unlawful or unenforceable, it will be severed or limited to the minimum extent necessary, and the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations as permitted by law. No partnership, employment, joint venture, or agency relationship is created by your use of the Services.
